Welcome to CITY SPACES & BOOKINGS

We are glad that you are taking the time to read these terms of service (the Terms). These Terms are a binding legal agreement that govern your use of our Service. By accessing or using our Service, you agree to be bound by these Terms. Our Service enables Users to publish, offer, search for, and book services. As the provider of the booking platform, we do not own, control, offer or manage any Listings, Host Services. We are not a party to the contracts entered into directly between Hosts and Guests, nor are we a real-estate broker, or insurer. We are not acting as an agent in any capacity for any Member, except as specified in the Payment Terms. Your use of our Service is conditioned upon your acceptance of these Terms. To make a Hotel or Accommodation listing you must also accept these Terms. If you do not accept these Terms, then please do not use our Service. We may change these Terms at any time and your future use of our Service following changes to these Terms is subject to you accepting those updated Terms. We recommend that you save or print a copy of these Terms. We maintain other terms and policies that supplement these Terms, like our Privacy Policy, which describes our collection and use of personal data, and our Payment Terms which govern any payment services provided to Members.

Definitions

  • Booking refers to the reservation of an accommodation made by a Guest through our website.
  • Content refers to any feedback, text, images, audio, videos, information or other content or materials uploaded, posted, or transmitted on our website by Users, Including but not limited to accommodation listings, reviews, and messages.
  • Damage claim refers to the process by which a Host seek compensation for any damage caused by a Guest during their stay.
  • Guest refers to members who search for, book, or use services makes a Booking through our website.
  • Host refers to Members who publish and offer accommodations, Hotel listings, Outdoor listing (“Accommodations”) services (collectively, “Host Services,” and each Host Service offering, a Listing)
  • Host Services refers to accommodations, Hotel listings, Outdoor listing offered by Host
  • Listing refers to each Host Service offering.
  • our Service refers to the features, functionalities, and offering on our websites, apps, and online tools including but not limited to hotel listings, accommodation listings, booking services, payment processing.
  • Personal Information refers to any information that can be used to identify an individual, such as name, email address, phone number, or payment information, as defined in the Privacy Policy.
  • Reservation Issue refers to any of the following:
    • Host cancels the reservation prior to check-in.
    • Host fails to provide their guest access to the accommodations.
    • Accommodations are not habitable at check-in, including but not limited to any of the following reasons:
      • Not reasonably clean and sanitary.
      • Contain safety or health hazards.
    • Accommodations are significantly different than advertised, including but not limited to any of the following reasons:
      • Inaccurate space type (e.g. entire place, private room, or shared room).
      • Inaccurate type or number of rooms (e.g. bedrooms, bathrooms, and kitchens).
      • Inaccurate location of the accommodations.
  • Terms refers to these Terms of Service governing the use of our services.
  • We, us or our refer to City Spaces & Bookings, a product of Platon Core a company incorporated under the Laws of the Federal Republic of Nigeria, having its registered office at 15, Iseyin Street, Ilupeju, Lagos, which provides our Service
  • Website refers to the online platform operated by Platon Core providing services for booking accommodations, including hotels and short-let apartments.
  • You refers to you the individual or entity, accessing or using our Service or making a booking with our Service.

Guest Terms

1. Searching and Booking

1.1 Searching. You can search for Host Services by using criteria like the type of Host Service, type of listing, location, booking dates, and number of guests. You can also use filters to refine your search results. Search results are based on their relevance to your search and other criteria. Relevance considers factors like price, availability, location, reviews, customer service and cancellation history, popularity, previous trips and saved Listings, Host requirements (e.g. minimum or maximum nights), and more.

1.2 Booking. When you book a Listing, you are agreeing to pay all charges for your booking including the Listing price, applicable fees like our service fee, taxes, and any other items identified during checkout (collectively, “Total Price”). If you choose to pay using a currency that differs from the currency set by the Host for their Listing, the price displayed to you is based on a currency conversion rate determined by us. You are also agreeing that we may charge the Payment Method (as defined in the Payment Terms) used to book the Listing in order to collect Damage Claim amounts. When you receive the booking confirmation, a contract for Host Services (a “Reservation”) is formed directly between you and the Host. By making a Reservation you are agreeing to the terms of the contract. The terms of the contract include these Terms, all terms of the Reservation, including without limitation, the cancellation policy and any other rules, standards, policies, or requirements identified in the Listing or during checkout that apply to the Reservation. It is your responsibility to read and understand these terms of the contract including these Terms and all terms of the Reservation including all rules, standards, policies, and requirements prior to booking a Listing.

1.3 Accommodation Reservations. An Accommodation Reservation is a limited license to enter, occupy, and use the Accommodation. The Host retains the right to re-enter the Accommodation during your stay, to the extent: (i) it is reasonably necessary, (ii) permitted by your contract with the Host, and (iii) consistent with applicable law. If you stay past checkout, the Host has the right to make you leave in a manner consistent with applicable law, including by imposing reasonable overstay penalties. You may not exceed the maximum number of allowed Guests.

2. Cancellations, Reservation Issues, Refunds, and Booking Modifications

2.1 Cancellations, Reservation Issues, and Refunds. In general, if as a Guest you cancel a Reservation, the amount refunded to you is determined by the cancellation policy that applies to that Reservation. But in certain situations, other policies take precedence and determine the amount refunded to you. If you have a Reservation Issue, we may at our discretion provide you with assistance in attempting to resolve the issue. Additionally, we may at our discretion reimburse you up to the Total Price you paid. We may also provide you with the option of booking an alternative Listing.

2.2 Booking Modifications. Guests and Hosts are responsible for any Booking Modifications they agree to make via our Service or direct City Hotels customer service to make on their behalf (“Booking Modifications”), and agree to pay any additional amounts, fees, or taxes associated with any Booking Modification.

3. Your Responsibilities and Assumption of Risk

3.1 Your Responsibilities. You are responsible and liable for your own acts and omissions and are also responsible for the acts and omissions of anyone you invite to join or provide access to any Accommodation, Listing, or Host Service. For example, this means: (i) you are responsible for leaving an Accommodation (and related personal property) in the condition it was in when you arrived, and (ii) you must act with integrity, treat others with respect, and comply with applicable laws at all times. If you are booking for an additional guest who is a minor or if you bring a minor to a Host Service, you must be legally authorized to act on behalf of the minor and you are solely responsible for the supervision of that minor.

3.2 Your Assumption of Risk. You acknowledge that many activities carry inherent risks and agree that, to the maximum extent permitted by applicable law, you assume the entire risk arising out of your access to and use of our Service and any Content, including your stay at any Accommodation, participation in any Host Service, use of any other Host Service, or any other interaction you have with other Members whether in person or online. This means it is your responsibility to investigate a Host Service to determine whether it is suitable for you. For example, Host Services may carry risk of illness, bodily injury, disability, or death, and you freely and willfully assume those risks by choosing to participate in those Host Services.

Host Terms

1. Hosting on our Service

1.1 Listing Accommodations. When creating a Listing through our Service you must (i) provide complete and accurate information about your Host Service (such as listing description, location, and calendar availability), (ii) disclose any deficiencies, restrictions (such as house rules), and requirements that apply (such as any minimum age, proficiency, or fitness requirements for a Host Service), and (iii) provide any other pertinent information requested by City Hotels. You are responsible for keeping your Listing information (including calendar availability) up-to-date at all times.

1.2 Know Your Legal Obligations. You are responsible for understanding and complying with any laws, rules, regulations, and contracts with third parties that apply to your Listing or Host Services. For example, some cities have laws that restrict your ability to host paying guests for short periods or provide certain Host Services. In many cities, Hosts may have to register, get a permit, or obtain a license before providing certain Host Services (such as short-term rentals, food preparation, serving alcohol for sale, guiding tours, or operating a vehicle). You are alone responsible for identifying and obtaining any required licenses, permits, or registrations for any Host Services you offer. Certain types of Host Services may be prohibited altogether. Penalties may include fines or other enforcement. We provide some information in our Help Center to help you understand some of the obligations that apply to you. If you have questions about how local laws apply to your Listing(s) and Host Service(s) on City Hotels, you should always seek legal guidance.

2. Managing Your Listing

2.1 Managing Your Listing. You are responsible for keeping your Listing information (including calendar availability) and content (such as Listing photos) up-to-date at all times. Accurate and up-to-date information helps ensure a better experience for your Guests.

3. Cancellations, Reservation Issues, and Booking Modifications

3.1 Cancellations and Reservation Issues. If you cancel a reservation, the amount refunded to the Guest is determined by the cancellation policy that applies to that reservation. If a Guest has a reservation issue, we may at our discretion provide the Guest with assistance in attempting to resolve the issue.

3.2 Booking Modifications. Hosts are responsible for any Booking Modifications they agree to make via our Service or direct City Hotels customer service to make on their behalf (“Booking Modifications”), and agree to pay any additional amounts, fees, or taxes associated with any Booking Modification.

4. Taxes

4.1 Host Tax Obligations. As a Host, you are responsible for determining your obligations to report, collect, remit, or include in your Listing Fees any applicable VAT or other indirect sales taxes, occupancy tax, tourist or other visitor taxes, or income taxes (Taxes).

General Terms

1. Reviews

1.1 Review Content. You can post reviews for your trips and the Host Services you’ve experienced. Your review must be accurate and must not contain any discriminatory, offensive, or defamatory language.

2. Content

2.1 Content Responsibility. You are responsible for any content you create, post, upload, or share through our Service. This includes but is not limited to, reviews, photos, and profile information.

3. Fees

3.1 Service Fees. City Hotels may charge fees to Hosts (Host Fees) and/or Guests (Guest Fees) (collectively, Service Fees) in consideration for the use of the City Hotels platform. More information about when Service Fees apply and how they are calculated can be found on our Service Fees page.

4. Using our Service

4.1 Acceptable Use. You agree to use our Service only for lawful purposes and in a way that does not infringe the rights of anyone else or restrict or inhibit anyone else’s use and enjoyment of the Service.

5. Termination, Suspension, and other Measures

5.1 Termination. We may terminate or suspend your access to our Service without notice if you breach these Terms or if we believe that your actions may cause harm to our Service or other users.

6. Modification

6.1 Changes to Terms. We may modify these Terms at any time. When we make changes, we will post the revised Terms on the Service and update the Last Updated date at the top of these Terms.

7. Resolving Complaints and Damage Claims

7.1 Resolution Process. If a Guest or Host raises a complaint or damage claim, both parties agree to cooperate with us in resolving the issue. This may include providing any information related to the complaint or damage claim.

8. City Hotels Role

8.1 Limited Role. City Hotels is not a party to any agreements between Hosts and Guests, nor is City Hotels an insurer, real estate broker, or organizer of any events.

9. Member Accounts

9.1 Account Responsibility. You must provide accurate and complete information during the registration process and keep your account information up-to-date. You are responsible for maintaining the confidentiality and security of your account credentials and may not disclose your credentials to any third party.

10. Disclaimer of Warranties

10.1 No Warranty. To the maximum extent permitted by law, City Hotels provides the Service “as is” and “as available” without any warranties, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitations on Liability

11.1 Limitation. To the maximum extent permitted by law, City Hotels will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein.

12. Indemnification

12.1 Indemnity. You agree to indemnify and hold harmless City Hotels and its affiliates and subsidiaries, and their officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Service or your violation of these Terms.

13. Dispute Resolution

13.1 Arbitration Agreement. You and City Hotels agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Service (collectively, Disputes) will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

14. Miscellaneous

14.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

14.2 Entire Agreement. These Terms constitute the entire and exclusive understanding and agreement between City Hotels and you regarding the Service, and these Terms supersede and replace any and all prior oral or written understandings or agreements between City Hotels and you regarding the Service.
